Senior Legal Counsel

Our client, an international investment firm and incubator based in Ta' Xbiex, Malta, specialises in early-stage investments within a dynamic global market. Their diverse portfolio includes sectors such as iGaming, FinTech, SaaS, and Digital Media. The firm provides comprehensive support to these investments, encompassing expertise in marketing, SEO, and corporate finance.

As the firm continues to grow, it is seeking a full-time Senior Legal Counsel to join its team. This pivotal role will manage legal affairs and ensure compliance across its international operations.

The Senior Legal Counsel will concentrate on leading the contractual aspects of transactions and addressing legal matters throughout the portfolio. Key responsibilities include overseeing and coordinating compliance efforts, workshops, and legal functions. This role is integral to supporting key departments and driving strategic projects that contribute to the firm’s business transformation and ongoing development.

Given the complexity of this multi-jurisdictional role, the successful candidate will need to be a seasoned legal professional. Building strong relationships with executive team members and stakeholders is essential, as is assessing and defining the legal structure and scope to meet organisational needs.

Responsibilities:

As Senior Legal Counsel, your broad responsibilities will include but are not limited to:

Legal Management:

• Draft, review, and negotiate commercial agreements, including venture capital-related documents (e.g., shareholder and investment agreements) and general contracts (e.g., employment and service agreements) for the portfolio of companies as needed.
• Develop and implement policies to ensure compliance with local and international laws, particularly in iGaming, sports betting, and commerce.
• Oversee the creation and administration of compliance policies, documents, and guidelines.
• Handle company incorporations and coordinate special legal issues with external specialists. 

Compliance and Documentation:

• Conduct periodic reviews of company assets and domains to ensure compliance with relevant requirements.
• Review, manage, and process documentation, including internal and external due diligence.

Risk Management:

• Analyse, identify, and advise on legal risks and implications, and develop strategies to mitigate those risks.
• Provide legal guidance and support for various projects as needed.

Contract and Supplier Management:

• Direct the provision of legal input on all transaction and contractual negotiations to protect business interests and ensure proper due diligence.
• Implement effective processes and systems for executing contracts and managing legal documents.

Requirements:

• 5+ years of post-qualification experience, specialising in complex legal structures.
• Proven track record in managing legal and regulatory compliance across multiple jurisdictions.
• Extensive experience with transaction-related commercial contracts, ideally within the venture capital sector, as well as the online gambling and affiliate industries.
• Preferably, a qualified lawyer in Malta who is also an active member of the Maltese Bar.
• Experience in iGaming or lead generation is advantageous.
• Familiarity with Maltese and international tax law, as well as investment management regulations, is beneficial.
• Proficiency in English (both spoken and written) is essential
• Strong organisational abilities, with a proven capacity to work independently and manage legal functions effectively.
