Looking for a new legal challenge in a dynamic and fun environment? We're seeking a Legal Counsel to join our client, one of the leaders in the iGaming industry, with a hybrid work setup in Malta. This role is perfect for someone who not only knows their way around corporate law but also enjoys bringing a sense of humour to their work.
Here’s what you'll be doing (with a few fun twists):
AGREEMENT FOR LEGAL COUNSEL SERVICES
This Agreement (hereinafter referred to as the "Agreement") is entered into on this [Date], by and between [Company Name] (hereinafter referred to as the "Company"), and [Legal Counsel Name] (hereinafter referred to as the "Legal Counsel").
WHEREAS, the Company desires to engage the services of the Legal Counsel for the provision of legal services, and
WHEREAS, the Legal Counsel agrees to provide such services in accordance with the terms set forth herein,
NOW, THEREFORE, the parties agree as follows:
1. SCOPE OF SERVICES
1.1 Provision of Legal Advice
The Legal Counsel shall provide first-class legal advice (and perhaps a few pearls of wisdom) across multiple domains, including but not limited to:
- Commercial Law (yes, we like making deals);
- Corporate Law (keeping the corporate ship sailing smoothly);
- Data Protection (because no one likes surprises in their inbox);
- Employment Law (happily ever afters for employers and employees);
- Gaming and Betting Regulations (keeping the fun legal);
- Competition Law (play nice, but play to win);
- Responsible Gaming (no, you can't bet the farm).
1.2 Drafting and Negotiating Agreements
The Legal Counsel shall engage in the art of crafting, reviewing, and negotiating complex commercial agreements, covering a wide range of thrilling topics such as:
- Marketing and Advertising (because “legalese” is just as important as “click here”);
- Payment Services (where the money goes, we follow);
- Data Protection (again, no spam, please);
- Game Supplier Contracts (the fun part);
- Intra-Group Arrangements (like family dinners, but with contracts).
1.3 Compliance Consultancy
The Legal Counsel shall keep the Company on the straight and narrow, ensuring compliance with laws in every market, both current and future (because ignorance is never bliss in the legal world). Staying up-to-date with regulatory changes is required, and bonus points if you predict them like a legal Nostradamus.
1.4 Document Creation and Review
The Legal Counsel shall draft and review documents (you know, the boring-but-necessary stuff) such as:
- Resolutions (official decisions, not New Year's ones);
- Non-Disclosure Agreements (because secrets are still a thing);
- Powers of Attorney (only use these powers for good);
- Basic Corporate Changes (nothing too fancy).
1.5 Development of Policies
The Legal Counsel shall develop and implement policies to ensure that the Company behaves ethically, legally, and in a way that makes everyone proud. The occasional eye-roll while explaining these policies is permissible, but must remain professional.
1.6 Intellectual Property and Consultancy Services
In addition to being the legal rockstar that you are, the Legal Counsel will also provide consultancy on intellectual property matters, including but not limited to:
- Trademarks (™ your thing);
- Patents (because great ideas need protection).
Training on these subjects will be provided as needed, because an informed client is a happy client.
1.7 Due Diligence (KYC/KYB)
The Legal Counsel shall manage and supervise all necessary Know Your Customer (KYC) and Know Your Business (KYB) processes. This ensures that we only deal with reputable third parties, financial institutions, and regulators (because sketchy partners are not our style).
1.8 Dispute Resolution and Project Management
The Legal Counsel will be called upon to mediate disputes, from player disagreements to contract disputes. You’ll be the calm in the storm, or at least the one holding the legal umbrella.
The Legal Counsel shall also manage various projects, ensuring that legal affairs run like a Swiss watch (precisely, on time, and with minimal fuss).
1.9 Governance Responsibilities
The Legal Counsel shall ensure that AGM minutes and other governance matters are documented and organised (with just enough formality to make corporate life look glamorous).
1.10 Collaboration with the Legal Team
The Legal Counsel will work closely with legal colleagues (both locally and abroad) in a cross-border collaboration of legal minds. Expect witty banter, professional disagreements, and a shared love of coffee.
1.11 Timely Delivery of Work
The Legal Counsel will meet deadlines with grace and composure, while also delivering work that meets or exceeds expectations (because who doesn’t love a legal overachiever?).
1.12 Additional Responsibilities
From time to time, the Company may request additional services not explicitly mentioned herein (because business is always evolving). The Legal Counsel agrees to rise to the challenge, embracing the opportunity with enthusiasm (and a fresh set of legal pads).
1.13 Refreshment Provision Clause
1.13.1. The Legal Counsel hereby agrees, on mornings of significant meetings, to ensure the provision of refreshments, specifically coffee, to the Company. Said coffee shall be strong, with the appropriate ratio of milk, and without sugar, unless otherwise stipulated by mutual agreement.
1.13.2. Failure to provide such refreshments will obligate the Legal Counsel to offer compensatory reparations in the form of a legal pun of superior quality, delivered during the said meeting, to the satisfaction of all attending parties.
1.13.3. The obligations outlined in this clause may be waived upon the delivery of suitable confectionery, with a preference for chocolate donuts, although this is not mandatory.
1.13.4. Note: For the avoidance of doubt, this clause is obviously not part of the actual role requirements—just making sure you’re paying attention!
2. EXPERIENCE AND QUALIFICATIONS
2.1 Educational Requirements
The Legal Counsel shall possess the necessary academic accolades, including:
- A Law Degree (LLB or equivalent) – proof that they survived law school and lived to tell the tale;
- A Professional Legal Qualification (Bar admission or equivalent) – ensuring they can argue legally, not just for fun;
- A Master’s Degree (LLM) in relevant areas (corporate law, data protection, gaming law) is welcome but not required (no need to show off).
2.2 Experience
The Legal Counsel shall bring with them a minimum of 2-3 years of experience, ideally in corporate, commercial, and regulatory matters. Extra points for:
- Experience in the gaming industry (because playing by the rules in a fun industry is an art form);
- Expertise in contract negotiation, corporate legal matters, and commercial transactions (fancy footwork in the legal world).
2.3 Regulatory Expertise
The Legal Counsel must be proficient in ensuring compliance with local and international regulations, particularly GDPR and corporate governance (because data protection never goes out of style).
2.4 Technical Knowledge
While not required, familiarity with affiliate tracking, registration funnels, and marketing operations in the gaming industry is highly desirable (we appreciate a Legal Counsel who knows their way around the backend, figuratively speaking).
3. GENERAL PROVISIONS
3.1 Confidentiality
The Legal Counsel agrees to keep all Company matters confidential. No gossiping about sensitive information at the coffee machine.
3.2 Term of Engagement
The engagement shall commence as soon as possible and shall continue until the parties mutually agree to part ways (preferably on friendly terms).
3.3 Amendments
This Agreement may be amended only by mutual consent, with changes noted in writing (or inscribed on a gold tablet, whichever is easier).
